"Mr. Lozano seems like a funny and kind accountant with your best interest in mind, and my partner and I genuinely felt like we were in good hands at the time that we hired him. He was a referral to us from another lawyer. We started a brand new law firm right out of law school in 2018 and hired Mr. Lozano shortly after we began operations. Mr. Lozano asked for a $1,500 retainer to start, which was literally 10% of all the money we had at the time, so we asked him how far the retainer would get us. He mentioned there would be some atypical expenses because we were a new account, but then he immediately pointed out how low his hourly rates were and that the retainer should see us through the year. Based on the numbers he gave us, $1,500 would get us 12 hours at minimum. Early on in our engagement with him, he recommended we file to be treated as an S corp. To get treated as an S corp, you have to file a form 2553, which is a 4-page fill-in-the-blank form. Before we knew it, after 2 months, our entire $1,500 retainer was GONE and he sent us an invoice for $1,800 with a $300 "discount" totaling the entirety of our retainer. On the invoice, there was a description of line items and things he worked on, but no accounting of the hours he worked or who billed us at the firm and at what rates. He made us believe that different employees at his firm had lower billable rates than he did, meaning we could potentially receive more than 12 hours of work if we hired his firm. At the time, we were younger and didn't question the ethics of his billing--plus he came to us as a referral, and we were worried about souring the relationship with the lawyer that referred Mr. Lozano to us. In hindsight, this was a complete scam and we should have been outraged to be given a vague bill for so much money. Here is what his invoice said he billed us for: 1. New client setup of files. 2. Conference call with client regarding payroll. 3. Conference call with Client to discuss S-Election (form 2553). 4. Preparation of Form 2553. 5. Received and an analyzed 2nd quarter 2018 estimated income calculation. 6. Assisted client with set-up of online Payroll account with ADP. 7. Prepartion of Form 8822-B (this is literally a 1 page long fill-in-the-blank document). 8. Finalize 2018 Form 1120S "Tax projection" and send client a blank expense report template for client to use. Also advised client regarding tax issues. For him to send us a bill for $1,800 would mean he's claiming that he spent 15 hours filling out the 4-page Form 2553, the 1-page Form 8822-B, the "tax projection" for form 1120S, and the 3 phone calls we had (which lasted about 15 to 30 minutes each). This was a massive betrayal to us and a huge waste of money for a modest startup like ours, and I wish we would have spoken up about it and disputed the bill. A month later, he also sent us a second invoice for an additional $485 after we made it clear we wouldn't be refilling our retainer with him. AVOID AT ALL COSTS."
